The Ogden Codman Trust was created under the will of Dorothy S. F. M. Codman.
Grants are geographically restricted to organizations and activities serving residents of the Town of Lincoln, Massachusetts.

The following is an excerpt from Article SECOND (3) under the will of Dorothy S.F.M. Codman dated October 30, 1961:
(3) To my Trustees hereinafter named, all the remainder of the property, both real and personal, held by the Trustees under the will of my said father, Ogden Codman, to invest the same and to expend the income only therefrom as said Trustees and their successors may in their sole discretion determine, to and for the following purposes,and any one or more of them:
(a) rendering food, shelter, medical, hospital or nursing assistance to individual residents of said Town of Lincoln temporarily in actual need of such assistance through circumstances or causes beyond their control; and deemed by the Trustees to be deserving of receiving the same;
(b) rendering assistance by way of loan or grant to individual residents of said Town of Lincoln who could not otherwise obtain the same, to obtain a secondary, college, technical or professional education, and who shall be deemed by the Trustees to be exceptionally qualified and deserving of such assistance;
(c) assistant in the financial support and conduct of classes, courses or lectures in said Town of Lincoln in liberal, cultural or practical arts, open without distinction to all Lincoln residents, with only such exclusions as may be necessitated by lack of seating capacity;
(d) providing or assisting in providing and maintaining parks, playgrounds, bathing facilities, organized sports or similar recreational facilities or activities, in said Town of Lincoln, and open without distinction to all Lincoln residents, with only such exclusion as may be necessary due to the size of the facility or activity; and
(e) contributing to or supporting such existing civic organizations as are then serving or assisting individual residents of the Town of Lincoln in any of the above-mentioned areas, uses or purposes.
It is my direction that none of the uses of said income by said Trustees shall in any way relieve the Town of Lincoln from its ordinary responsibility in providing the usual municipal services a town furnishes to its inhabitants, but that such uses shall supplement those activities and services which said Trustees in their sole discretion deem worthy of additional assistance or support.
